what format is the image?

what is the background colour of the object where you placed it?
ans. using photoshop i save it using transparent background.

after editing using photoshop i save it as .psd

then in dreamweaver using insert it will automatically convert the psd into .jpg file.

PSD is the Photoshop project format like .doc is in Word or .xls is in Excel. Use PNG, JPG or GIF in web pages but do some reading around which format to use when :)
