I currently have CS3 and thinking about upgrading to CS4. I read there are a few changes, but is there really anything that has been really impoved to bother changing? Is it basically just the same with the menu layed out differenly?

Big improvements in the way CSS is handled.
Live View (with javascript preview).
Photoshop Live Objects
Related Files bar
HTML Datasets
And more…

You will lose some of the HTML formatting options you may be used to (layout tables for instance) but that's not a bad thing. If you're continually updating your skills (particularly CSS) then you should update.

What are the big improvements in the way CSS is handled?

Well for one, it won't automatically create CSS styles and name them Style1, Style2, etc.

A second is that the properties inspector is now divided into HTML and CSS tabs and you aren't offered shortcuts for deprecated HTML attributes such as align: left, right, center. So good CSS practices are better enforced.
